1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Digixom ("Company," "we," "us," or "our"), concerning your access to and use of the digixom.com website as well as any other media form or related services.

By engaging our services for software development, mobile application development, or digital marketing, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions.

2. Our Services

Digixom provides custom technology and marketing solutions. The specific scope of work, deliverables, timelines, and costs for your project will be detailed in a separate Statement of Work (SOW) or formal proposal.

  • Development: Any changes requested outside the agreed SOW may incur additional costs and alter delivery timelines (Scope Creep).
  • Marketing: While we utilize industry best practices to drive growth and ROI, we cannot guarantee specific financial results from ad spend or social media campaigns, as these rely on third-party algorithms (e.g., Meta, Google).

3. Client Responsibilities

To ensure the successful delivery of your project, you agree to:

  • Provide necessary access to servers, hosting accounts, social media profiles, or ad accounts promptly.
  • Supply brand guidelines, logos, copy, and other required assets in a timely manner.
  • Review milestones and provide feedback within agreed-upon timeframes. Delays in feedback will proportionally extend project deadlines.

4. Intellectual Property

Ownership Transfer: Upon full and final payment of all invoices related to the project, Digixom grants you complete ownership and intellectual property rights to the final deliverables (source code, app binaries, marketing assets).

Pre-existing Code: We may use open-source or pre-existing proprietary frameworks to accelerate your build. You will be granted a perpetual, non-exclusive license to use these frameworks as part of your final product.

Portfolio Rights: Unless a Non-Disclosure Agreement (NDA) states otherwise, Digixom reserves the right to display the completed project in our portfolio, case studies, and marketing materials.

5. Fees & Payments

Payment terms will be strictly outlined in your proposal or contract. Standard development projects generally follow a 40/30/30 structure (Upfront / Beta Delivery / Final Launch).

Marketing retainers, hosting, and maintenance fees are billed monthly in advance. Digixom reserves the right to pause services, pause ad campaigns, or withhold final code delivery if invoices remain unpaid for more than 7 days past the due date.

6. Limitation of Liability

In no event will Digixom, our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data arising from your use of our software or marketing services. Our total liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us during the project lifecycle.

7. Governing Law

These Terms shall be governed by and defined following the laws of India. Digixom and yourself irrevocably consent that the courts of Assam, India shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
